Presumably you have flashed the root fs as you are using opie, but the zImage hasn't flashed (the design of the updater.sh allows just one or the other or both to be flashed).
Assuming you're not using an updater.sh from somewhere else (as updater.sh decides what the filenames of initrd.bin & zImage should be) then the problem must be that zimage is either mis-named, or corrupt.
were you using opie before? could it be that nothing flashed successfully (that's the only other option I can think of if everything else is right)?

I finally got it to flash correctly. I ended up formatting the compact flash in EXT3 format (so I could make certain zImage was coming over correctly) and re-downloaded the files. Worked like a charm.
